12. Governing Law & Jurisdiction
These Terms, and any dispute arising from or relating to them or the Services, are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.
You submit to the personal jurisdiction of the state and federal courts located in Bay County, Florida for any matter not subject to arbitration below.
13. Dispute Resolution & Binding Arbitration
Except for matters in which you seek injunctive or equitable relief, any controversy, claim, or dispute between you and Bravely Balanced (including Trinity Health Holdings LLC, its owners, providers, employees, contractors, and affiliates) arising out of or relating to these Terms, the Services, or your care — including any claim of malpractice, negligence, breach, or personal injury — shall be resolved by binding, individual arbitration administered in Bay County, Florida, under the then-current rules of the American Arbitration Association.
- A single arbitrator shall decide the dispute.
- The arbitrator's award is final and judgment may be entered on it in any court of competent jurisdiction.
- You and Bravely Balanced each waive any right to a court trial.

If a court finds this waiver unenforceable as to a class, you agree the affected claims must be brought individually in arbitration.

17. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable by a court or arbitrator, that provision shall be severed, and the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms, together with the Privacy Policy, Notice of Privacy Practices, Medical Disclaimer, Informed Consent, Telehealth Consent, and any signed treatment-specific consent forms, constitute the entire agreement between you and Bravely Balanced regarding the Services and supersede all prior or contemporaneous understandings.
19. No Waiver
Our failure to enforce any right or provision of these Terms at any time is not a waiver of that right or provision. No waiver is effective unless in writing and signed by us.
20. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, reorganization, or sale of all or part of our business. Any attempted assignment in violation of this section is void.
21. Force Majeure
We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, power or internet outages, telecommunications failures, third-party platform failures, pharmacy delays, regulatory actions, or labor disruptions.
22. Survival
Sections addressing payment, refunds, liability, indemnification, dispute resolution, arbitration, waiver, severability, and survival shall survive termination or expiration of these Terms or the Services.
23. Updates to Terms
We may update these Terms at any time. Changes are effective when posted. Your continued use of our website or Services after changes are posted constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.
